NBCS NON-DISCLOSURE AND BUYER RELATIONSHIP AGREEMENT Please read the below document carefully, as it is an important legal document that binds you to certain obligations. A printed version of this agreement will be sent to you that must be completed and returned before we can send you any information.
NBCS NON-DISCLOSURE AND BUYER RELATIONSHIP AGREEMENT This NBCS NON-DISCLOSURE AND BUYER RELATIONSHIP AGREEMENT (“Agreement”) is made between National Business Capital Services, LLC, a Texas Limited Liability Company (“NBCS”) and the below-named party (“Buyer”), collectively referred to as the “parties.” For purposes of this Agreement, a Buyer may be a person, Broker, Intermediary, Agent, or other entity, whether an individual, partnership, corporation or other business structure, interested in the Confidential Information of NBCS clients for its own benefit or for that of any other party. In consideration of NBCS allowing Buyer access to certain Confidential Information pertaining to the identity, circumstances, objectives, and location of its clients, as well as other Confidential Information related to those clients, the parties agree as follows: CONFIDENTIALITY AND NON-DISCLOSURE 1. Confidential Information. Buyer shall treat the Confidential Information disclosed by whatever means as being strictly private and confidential, and Buyer shall take all reasonable measures to maintain its status as such. Buyer shall use the Confidential Information solely for the purposes of evaluating the Property (the "Permitted Purpose") with a view to the acquisition of that Property (the "Proposed Transaction") by Buyer and/or one or more of Buyer’s clients, and not for any other purpose including, but without limitation, to procuring any commercial advantage, which shall include, but is in no way limited to, soliciting an NBCS client to sign representative agreements with Buyer or to solicit additional fees from an NBCS client in order to introduce Buyer or any of Buyer’s clients to any client of NBCS; 2. Disclosure of Confidential Information. Buyer shall not at any time disclose or allow access by any person any of the Confidential Information other than to (i) any client(s) of Buyer who in Buyer’s professional judgment are likely to be qualified and interested in a Proposed Transaction; (ii) The accountant, legal advisor, and other professional advisors of said client(s), and solely for the purpose of soliciting their professional advice on the Permitted Purpose and Proposed Transaction; and (iii) Any other person NBCS approves in writing in advance. OTHER TERMS AND CONDITIONS 3. Indemnification and Governing Law. Buyer shall indemnify and hold harmless NBCS from any and all actual or alleged losses, claims, damages, causes of action costs and expenses of any nature, including, without limitation attorney’s fees and costs (collectively, “Claims”), that NBCS incurs as a result of: (i) Buyer’s acts or omissions; (ii) Buyer’s breach of these Terms and Conditions; or (iii) the acts or omissions of Buyer’s agents, employees, directors, officers, affiliates, subsidiaries, members and any other party acting directly or indirectly on Buyer’s behalf. Buyer agrees and acknowledge that any violation or threatened violation of this Agreement will cause irreparable injury to the Disclosing Parties and that, in addition to any other remedies that may be available, in law, in equity or otherwise, the NBCS shall be entitled to obtain injunctive relief against the threatened breach of this Agreement or the continuation of any such breach, without the necessity of proving actual damages. 4. Venue and Jurisdiction. Venue and jurisdiction of any legal action regarding this Agreement shall be solely in Dallas County, Texas under Texas State law. Both parties agree that any controversy or claim arising out of or relating to this contract, or the breach thereof, is subject to arbitration under the Federal Arbitration Act and shall be settled by binding arbitration to be conducted in Dallas, Texas and administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any having jurisdiction thereof. The costs of any arbitration shall be borne equally by the parties. In the event of any dispute in arbitration or litigation, Buyer and NBCS hereby waive, to the fullest extent permitted by law, any and all right to or claims of punitive or exemplary damages against the other, and agree that each other may recover only actual damages, attorney’s fees and liquidated damages as stated herein 5. Amendment, Modification and Termination. The Buyer Agreement may only be amended, modified or terminated only by a written agreement of Buyer and NBCS. 6. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument and a fax shall be legally effective. 7. Due Authority. Each individual signing this Agreement on behalf of a party warrants and represents to the other party that he or she has the authority to execute this Agreement on such party’s behalf and to bind such party to the terms hereof. 8. Severability. In the event any term or provision of this Agreement shall be determined by a court of competent jurisdiction to be illegal, invalid or unenforceable for any reason whatsoever, that provision shall be severed from the Agreement and shall not affect the validity of the remainder of the Agreement. 9. Headings. Section headings in this Agreement are solely for convenience, do not set out any material terms of this Agreement, and shall not be used to interpret the terms of this Agreement. 10. Entire Agreement. This Agreement sets forth the entire agreement and understanding of the parties hereto in respect of the subject matter contained herein, and supersedes all prior agreements, promises, covenants, arrangements, communications, representations and warranties, whether oral or written, by any officer, employee or representative of any party hereto. BROKER/INTERMEDIARY PROVISIONS 11. Client Non-Solicitation. ANY BUYER WHO IS OR REPRESENTS A BROKER, INTERMEDIARY, OR OTHER AGENT OF ANY THIRD PARTY, hereby covenants and agrees that for a period of five (5) years after the execution this Agreement, Buyer will not, (i) directly or indirectly, without prior written consent of NBCS induce any of NBCS’s clients or previously identified prospective or anticipated clients to become clients of Buyer, or (ii) divert to any other person or entity any business opportunity within the general scope of NBCS’s business and business capacity which has been identified due to Buyer's relationship with NBCS. Buyer further agrees that any violation of this section shall immediately entitle NBCS to liquidated damages in the amount of 50% of any fees, commissions or other payments received by Buyer for any transaction resulting from a breach of this Section, in addition to any and all other remedies available in law or equity, which remedies NBCS reserves the right to pursue aggressively. 12. Non-Diversion. ANY BUYER WHO IS OR REPRESENTS A BROKER, INTERMEDIARY, OR OTHER AGENT OF ANY THIRD PARTY, hereby covenants and agrees that any client(s) of Buyer who complete any purchase of or investment in the business of an NBCS client will have been introduced to that client of NBCS through the efforts of NBCS, and any attempt to divert, circumvent, conceal, evade, or otherwise avoid this determination shall be a breach of this Agreement. Buyer further agrees that any violation of this section shall immediately entitle NBCS to liquidated damages in the amount of 50% of any fees, commissions or other payments received by Buyer for any transaction involving a client of NBCS, in addition to any and all other remedies available in law or equity, which remedies NBCS reserves the right to pursue aggressively. 13. Notification. ANY BUYER WHO IS OR REPRESENTS A BROKER, INTERMEDIARY, OR OTHER AGENT OF ANY THIRD PARTY, hereby covenants and agrees to notify NBCS immediately of that fact, and a failure to indicate on this Agreement that “I am NOT, nor do I represent, a Broker, Intermediary, or other agent of any third party” shall constitute an affirmative notification. Any false indication of Buyer’s status or any other violation of this section shall immediately entitle NBCS to liquidated damages in the amount of 50% of any fees, commissions or other payments received by Buyer for any transaction involving a client of NBCS, in addition to any and all other remedies available in law or equity, which remedies NBCS reserves the right to pursue aggressively.
